Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Remizen's websites, applications, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Eligibility and Accounts
You must be at least 16 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access or use.
3. The Services
Remizen provides expense management, approval routing, reimbursement, policy enforcement, and related tools for finance teams. Features, limits, and integrations may change over time. We may add, modify, suspend, or discontinue any part of the Services at our discretion, and will provide reasonable notice where practicable.
4. Acceptable Use
You agree not to (a) use the Services in violation of any law or third-party rights; (b) attempt to gain unauthorized access to the Services or related systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer, decompile, or otherwise attempt to derive the source code; or (e) use the Services to submit fraudulent, misleading, or non-business expenses.
5. Customer Data
You retain all rights in the data you or your organization submit to the Services ("Customer Data"). You grant Remizen a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Services. You are responsible for the accuracy, legality, and lawful basis for collecting and submitting Customer Data.
6. Fees and Payment
Fees for paid plans are described in your order form or the applicable pricing page. Fees are billed in advance, are non-refundable except as expressly stated, and are exclusive of applicable taxes. Late payments may accrue interest at the lesser of 1.5% per month or the maximum allowed by law. We may suspend the Services for non-payment after providing reasonable notice.
7. Confidentiality
Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information, and not less than a reasonable standard of care. Confidential information may be disclosed only to employees and contractors with a need to know who are bound by confidentiality obligations.
8. Intellectual Property
Remizen and its licensors retain all right, title, and interest in and to the Services, including all software, designs, trademarks, and content (excluding Customer Data). No rights are granted to you except as expressly set forth in these Terms. Feedback you provide may be used by Remizen without restriction or obligation to you.
9. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. Remizen does not warrant that the Services will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to these Terms or the Services. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by you to Remizen in the twelve (12) months preceding the event giving rise to the liability.
11. Indemnification
You agree to defend, indemnify, and hold harmless Remizen and its affiliates from and against any third-party claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your or your organization's use of the Services in violation of these Terms, (b) Customer Data, or (c) your violation of any law or third-party right.
12. Termination
Either party may terminate these Terms for convenience on 30 days' written notice, or immediately for material breach that remains uncured 15 days after written notice. Upon termination, your right to access the Services ends. Sections intended to survive termination will continue to apply, including confidentiality, intellectual property, disclaimers, limitations of liability, and indemnification.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes not subject to binding arbitration, where applicable under separate agreement.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date below and, where appropriate, notify you through the Services or by email. Continued use of the Services after the changes become effective constitutes acceptance of the revised Terms.
